Assemble Financing Team

One challenge faced by healthcare financial leaders is selecting financial partners from candidates who present similarly impressive qualifications. We have worked with many of the individuals and organizations seeking your business, so we have an "up close" view of their strengths, weaknesses, and business cultures. Rockfleet will prepare RFPs where appropriate, evaluate the responses and recommend the candidate(s) who will be the best fit for you and your organization.


Develop Work Plan and Timeline

Once the team is selected, Rockfleet will develop a work plan, assign responsibilities, prepare a timeline, and coordinate the activities of the working group. Major tasks include assisting with the due diligence process and developing the provider's disclosure documents. We will "look around corners" to anticipate, identify, and resolve issues that arise.


Secure Internal and External Approvals

We will work with you to present the financing plan to board and management team members, lenders/investors and other stakeholders. There are many potential stakeholders in a strategic capital plan and its financing. There are underwriters, lenders and credit enhancers, rating agencies, grant funders, attorneys, and state regulators, each with distinct information needs. Rockfleet will assist in the preparation of information packages for each stakeholder; Monitor the progress of their review; Follow up on questions or requests for additional information; Assist your preparation for meetings with stakeholders.


Negotiate Financing Structure and Documentation

Rockfleet will advocate for the best available terms for bonds and loans, including covenants and pricing. In the case of a public issuance, we will work to enhance the placement of bonds not only with large institutional investors but also through the retail network of wealth managers, investment advisors, mutual funds, money market funds, closed end funds and exchange traded funds. A diverse investor audience helps ensure competitive pricing and market access in varying market conditions. We will seek to optimize the key terms of the financing: interest rates, maturities, security, prepayment provisions, financial partner compensation, covenants, remedies, and other provisions of the loan documents that impact your ongoing operations; loan size, debt service and cash flows that best fit your financial and operational needs. One of these requirements is substantial disclosure about the operations of your institution. While disclosure is a legal obligation, it is also an opportunity to market your organization to potential lenders and investors.


Coordinate the Closing

It is not uncommon for a loan or bond closing to require 40 or 50 separate documents that represent the various approvals for the transaction and the financial and other covenants of the transaction. Rockfleet assists in coordinating and completing this complex event.
